The individual who is authorized to sign on behalf of your LLC will need to sign appropriately to prevent the risk of personal liability. Instructions on how to sign appropriately are as follows:
- Include the signor’s full name.
- Include wording that specifies the signor is signing on behalf of the LLC. This is commonly indicated by the word “By:” followed by the signor’s signature.
- Include the signor’s relationship/title to the LLC, such as member, manager, or authorized signatory.
An example of an appropriate signature for an LLC is:
ABC, LLC, a Florida limited liability company
By: John Doe
John Doe, Manager
If the manager in the above example only signed his name as “John Doe,” without being preceded by the word “By” or followed by his title as “Manager,” then he might be signing individually, not on behalf of the LLC, and therefore John Doe would be exposing himself to personal liability.
